JD Fay has developed a unique range and depth of experience as a globally-focused senior executive of both public and private venture-backed technology companies. Mr. Fay is seasoned at helping these companies grow from first product to global expansion through an IPO or sale.
Additionally, he has advised and led numerous companies through public company preparedness and turn-around / repositioning situations. Mr. Fay has led three initial public offerings (IPOs) and advised in several more. He has completed IPOs on the Nasdaq and NYSE, and executed both “regular way” and SPAC IPOs.
He has also structured a number of debt offerings for public and private companies with venture, institutional and structured debt providers and syndicates. Combined, he has raised nearly $2 billion in equity and debt capital on behalf of a number of companies.
Mr. Fay has also advised on and executed the M&A strategy for companies. This includes acquisitions and divestitures in both the public and private company environments. He has led evaluation, negotiation, execution and integration globally, including in the U.S., China, Japan, Malaysia, Canada, and Europe.
Mr. Fay has been recognized for his work by the Silicon Valley Business Journal, which named him a “CFO of the Year”, and by CFO Monthly Magazine, which named him a “CFO Award” winner.
Mr. Fay's experience spans a host of industries and go-to-market business models. He has led and advised companies in software-as-a-service, hardware, services, and both in-house and contract manufacturing, in industries such as technology, media, telecom, clean tech, and medical devices.
Since 2017, Mr. Fay has been the Chief Financial Officer of Matterport (Nasdaq: MTTR), the recognized leader in the digitization and datafication of the built world delivering an AI / ML / computer vision software-as-a-service offering to enterprises and SMBs. Recently, he led the company through public company preparedness and a successful $3 billion SPAC IPO in 2021. Mr. Fay has led a number of functions at Matterport, including capital raising, accounting, planning, corporate development, investor relations, legal, IT, sales operations, customer success, and fulfillment operations in the U.K. and U.S. He also led the strategy and funding for the company’s first subsidiary and local operations in Asia.
From 2013 to 2017, Mr. Fay was the Chief Financial Officer of View (Nasdaq: VIEW), a developer of software-enabled automatic switchable thin film on glass to enhance productivity, comfort, wellness and energy efficiency in the built environment. There, Mr. Fay raised over $400 million in equity and debt capital, was instrumental in expanding the investor syndicate to include both Silicon Valley investors as well as several large sovereign wealth, financial institution and family office funds. During his tenure, Mr. Fay helped growth the company’s valuation to nearly $2 billion. He also positioned the company to support an IPO, which was completed in 2021. He led a number of functions, including capital raising, accounting, planning, legal, human resources, facilities and sales operations.
From 2007 to 2013, Mr. Fay held several roles at NeoPhotonics (NYSE: NPTN), including Chief Financial Officer, Senior Vice President, General Counsel and Secretary. NeoPhotonics is a global manufacturer of communications semiconductors and modules for high speed networks. He led the company’s successful upsized IPO on the NYSE resulting in a 10x growth in equity value. He also led numerous strategic initiatives, such as public company preparedness, driving the business to profitability, and a premium-priced PIPE investment by a sovereign wealth fund. Mr. Fay was responsible for capital raising, legal, accounting, planning and acquisitions, with significant operations in China, Japan, and Russia.
From 2000 to 2007, Mr. Fay held several roles at @Road (Nasdaq: ARDI: acquired by Nasdaq: TRMB), including Senior Vice President, General Counsel and Secretary. @Road is a software-as-a-service provider of mobile resource management, routing and scheduling. There, Mr. Fay was responsible for several functions in the U.K. and U.S., including legal, acquisitions, government relations and marketing. As General Counsel, Mr. Fay led the company's IPO, follow-on equity offering, and eventual sale to Trimble Navigation, Ltd. for $500 million.
Prior to 2000, Mr. Fay was in private practice as an attorney at the Venture Law Group, a Silicon Valley law firm focused on representing venture capital investors and their portfolio companies from formation through liquidity event.
Mr. Fay holds a juris doctor, cum laude, from Harvard Law School and two bachelor’s degrees, summa cum laude, in International Business and French, from North Central College. He is also an angel investor and patented inventor.
